Agreement to these terms

By accessing ingenuitylabs.xyz, creating an account, or collaborating with Ingenuity AI, LLC in any capacity, you accept these Terms of Service and any additional policies referenced here. If you are using the services on behalf of an organization, you confirm that you have authority to bind that organization to this agreement.

We may update the terms from time to time. When we do, we will post the revised version on this page and update the effective date below. Continued use of the services after a change becomes effective constitutes acceptance of the updated terms.

Eligibility

You must be at least eighteen years old and legally able to enter into contracts to use Ingenuity AI, LLC. Some research programs may require additional verification or background checks; we will let you know if that applies to you before you participate.

Safe access

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized use or a security breach.

We implement zero-trust controls, single sign-on, and device monitoring to protect the platform, but you must also follow best practices such as using strong passwords and enabling MFA when available.

Project confidentiality

When clients invite you to sensitive datasets or prototypes, you agree to keep that information confidential and to use it only for the purpose of completing the work. Do not copy, download, or distribute project materials outside the tools that Ingenuity AI, LLC provides unless explicitly authorized in writing.

Your content

You retain ownership of the content you upload or annotate. By submitting content through the services, you grant Ingenuity AI, LLC and our clients a worldwide, royalty-free license to host, process, analyze, and use that content solely for the purposes described in our agreements with you.

Licenses and compliance

You promise that you have the rights necessary to share the data you upload and that doing so does not violate any law, confidentiality obligation, or third-party right. We may audit submissions and remove content that we reasonably believe violates these promises.

Things you agree not to do

Reverse engineer, probe, or disrupt the services, or attempt to gain unauthorized access to any system or dataset.

Use the platform to create or distribute content that is illegal, hateful, exploitative, or violates privacy or intellectual property rights.

Misrepresent your identity, impersonate another person, or submit data that you know to be intentionally false or malicious.

Fair collaboration

Ingenuity AI, LLC may suspend or terminate access for behavior that threatens the integrity of our community, including attempting to harvest other users’ data, harassing teammates, or bypassing quality controls.

Clients

Invoices are due within thirty days unless otherwise stated in an order form. Late payments may incur finance charges or result in suspension of access to ongoing labeling programs.

Contributors

If you are paid for completing research tasks, payouts are processed through the payment provider specified in your onboarding materials. You are responsible for any taxes arising from compensation under applicable law.

No warranties

Ingenuity AI, LLC provides the services on an “as is” basis without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of liability

To the fullest extent permitted by law, Ingenuity AI, LLC and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any lost profits or revenues, whether incurred directly or indirectly. Our total liability for any claim is limited to the amount you paid Ingenuity AI, LLC for the services that gave rise to the claim during the twelve months before the incident.

Law and venue

These terms are governed by the laws of the State of California, excluding its conflict-of-law rules. Any disputes will be resolved in the state or federal courts located in San Francisco, California, and both parties consent to personal jurisdiction there.
